The innovative use of financing options increasingly influences commercial success. While banks and insurers provide classical credit financing, alternative lenders often offer tailored financial products. Capital market-based forms of company finance are also gaining popularity. At the same time, the regulatory framework for banks, financial service providers, insurers, and pension funds is becoming progressively complex. Banks and financial service providers
We advise private and public banks and financial service providers on all civil, administrative, and regulatory matters. We represent you before authorities and in court when enforcing or defending against claims and implementing regulatory provisions. Our experts advise banks and financial service providers on customer communications, compliance with the Markets in Financial Instruments Directive (MiFID) and Minimum Requirements for Risk Management (MaRisk), reporting obligations, and director’s duties, as well as in permission and ownership control proceedings, and coordinate with the Federal Financial Supervisory Authority (BaFIN), the German Federal Bank (Bundesbank) and the ECB, as appropriate.
Insurers
We advise insurers and their customers on questions of liability and represent their interests in and out of court. We have particular expertise in multi-faceted and legally complex liability questions related to financial lines: D&O (Directors and Officers), professional liability and fidelity insurance. As monitoring counsel, we examine liability law claims and advise on coverage. In addition, where insurers are active as financial backers, we advise on insurance supervisory law issues.
Pension funds
Companies rely on our insurance supervisory law advise when using external providers, such as pension funds. We have particular expertise in establishing and winding up pension funds, assisting with design and reorganisation, transferring portfolios between pension funds, and developing social partner models.
Family offices, foundations, and wealthy private individuals
We advise family offices, foundations, and wealthy private individuals on the selection and use of investment advisory and asset management services from banks and financial service providers. In the case of conflict, we enforce claims in and out of court, such as damages claims for deficient investment advice.
Companies seeking capital
Our focus: advising mid-market companies on classical credit financing through banks and insurers and the selection of innovative financial products. This includes advice on bank and syndicated loans, the issue of bonded loans, sustainability-related financing (green financing), mezzanine financing, concluding framework agreements for factoring transactions, and establishing intragroup cash pooling systems. In addition, we have many years of experience with capital market-based financing, IPOs, and the issue of bonds. We offer comprehensive restructuring advice to companies in financial or operative difficulties.
