ADVANT Beiten Advises FOGTEC Shareholders on the Sale of a Majority Stake to DPE

    Press Releases

Munich, 19 August 2026 – The international law firm ADVANT Beiten has advised all the shareholders of FOGTEC Brandschutz GmbH on the sale of a majority stake to an investment vehicle of DPE (Deutsche Private Equity) Investment Gesellschaft mbH. The transaction is still subject to approval under antitrust law.

FOGTEC Brandschutz GmbH, founded in 1997 and based in Cologne, is a leading and rapidly growing supplier of innovative fire protection systems based on high-pressure water mist technology. The company’s systems are used in buildings, industrial facilities, data centres, tunnels, railway stations, and rail vehicles, amongst other places. The product and service portfolio ranges from nozzles, pumps, and valves, through sensor technology and control systems, to engineering, installation, maintenance, and spare parts for complete fire protection systems.

FOGTEC employs around 255 staff members at sites across Europe, Asia and the Middle East and expects turnover of around EUR 70 million in 2026. The company is positioned within a structurally growing fire protection market, which is characterised in particular by rising safety and environmental requirements, as well as new fire risks in high-growth sectors such as data centres, battery storage facilities, energy infrastructure, and modern rail systems.

As part of the transaction, the existing shareholders, including the M Cap Finance Mittelstandsfonds, are selling a majority stake to an investment vehicle managed by DPE.

With DPE, FOGTEC has secured a growth investor specialising in medium-sized companies in the DACH region for its next phase of development. Under the new shareholder structure, the aim is, in particular, to further accelerate international expansion. Investments in research and development, certifications and organisational structures are expected to support organic growth and be complemented by selected acquisitions.

ADVANT Beiten provided comprehensive advice to the shareholders of FOGTEC on the sale of their majority stake and provided legal support throughout the selling process. This mandate combines the firm’s long-standing experience in M&A transactions within the industrial sector with its expertise in complex private equity transactions. In addition to the sale of the shares, the advisory services included, in particular, the structuring of the existing shareholders’ buy-back arrangement.

The transaction was led by Angelika Kapfer and Dr Martin Rappert at ADVANT Beiten. Prof. Dr Hans-Josef Vogel played a leading role in structuring the roll-over.

    Advisors to FOGTEC Brandschutz GmbH:
ADVANT Beiten: Angelika Kapfer, Dr Martin Rappert (both lead partners on the overall project), Prof. Dr Hans-Josef Vogel (lead partner on the buy-back arrangement), Nico Frielinghaus, Dr Winfried Richardt, Philipp Hohmann (all M&A), Christoph Heinrich (antitrust law), Christian Hess (IP & IT), Dr Mark Zimmer (employment law).
