We will consider the following issues:

• Exclusive jurisdiction of Russian courts over disputes between Russian and foreign companies: review of relevant cases;
• Joint and several liability of legal entities that are part of the same foreign corporate group for obligations to a Russian counterparty;
• Freezing of assets by a Russian court under a claim by a Russian counterparty: risks and recommendations;
• Inability to perform obligations due to sanctions vs the force majeure clauses of a contract;
• Limitation-of-liability clauses in contracts vs intentional violation of contractual obligations;
