    Die GmbH und das Ende der actio pro societate?


    „Der Bundesgerichtshof (BGH) hat in seiner Entscheidung vom 25.01.2022 (Az. II ZR 50/20 - BeckRS 2022, 4936; BB 2022, 971; NZG 2022, 516) der actio pro societate, das heißt der Klage eines Minderheitsgesellschafters gegen den Fremdgeschäftsführer einer GmbH eine Absage erteilt und den Gesellschafter auf eine Beschlussfassung der Gesellschafterversammlung verwiesen. Fraglich ist, inwieweit Gründe des Minderheitenschutzes und der Prozessökonomie die Geltendmachung eines Schadens der GmbH aufgrund pflichtwidrigen Verhaltens ihres Geschäftsführers durch einen Gesellschafter rechtfertigen können.“
