Frankfurt, 21 August 2020 – The international commercial law firm BEITEN BURKHARDT has provided legal advice to the Gaggenau-based holding Dr. Zwiebelhofer GmbH on the purchase and reintegration of two Croatian companies into the König Metall group with a team led by Dr Detlef Koch (Frankfurt am Main). The two companies, KM Kovnica (KMK) and KM Alati (KMA), with approximately 320 employees, have recently been fully integrated into the group. Previous shareholder was Anna Gutgsell. In 2013, both companies had been outsourced for tax reasons. König Metall (KM) in Gaggenau had already been customer of the Croatian companies for 90 percent of their business. KMK produced in particular series parts for the Wörth truck plant, while KMA concentrated on toolmaking. The parties have agreed that the purchase price will not be disclosed.
All operative decisions are bundled by the Zwiebelhofer Holding. The shareholders are Nina Zwiebelhofer with 75 percent and Anna Gutgsell with 25 percent.
In addition to growth and internationalisation, the long-term KM strategy provides for a further increase in the share of sales from areas outside the classic automotive sector. These include the important fields of electromobility, energy storage, building management and mechanical engineering.
BEITEN BURKHARDT has long been providing comprehensive advice to the König Metall group of companies in the areas of corporate law, M&A, labour law and compliance.
BEITEN BURKHARDT: Dr Detlef Koch (in charge), Sherjeel Chaudhry and Dr Mario Riechmann (all Corporate / M&A, Frankfurt am Main).
