Munich, 28 June 2016 – The international law firms EISENBERGER & HERZOG And BEITEN BURKHARDT have advised Megatech Industries AG on the acquisition of all business interests in Boshoku Automotive Europe GmbH. Seller was Toyota Boshoku Europe N.V. Within the framework of a purchase agreement, the owner-managed automotive supplier Megatech Industries AG furthermore purchased from Toyota Boshoku Europe N.V., inter alia, assets of the interior design business of Toyota Boshoku. In addition to the merger, Megatech Industries AG established a joint venture with Toyota Boshoku Corporation and Toyota Boshoku Europe N.V. The parties have agreed not to disclose the transaction volume.
Boshoku Automotive Europe GmbH operates three sites in Germany, one plant in Poland as well as one in the Czech Republic, with a total of 2,100 employees. Column and door claddings as well as trunk attachments are produced for leading OEMs at the sites in Waldbröl, Hodenhagen and Ebersdorf. The newly formed joint venture now focuses on the development of door and side claddings made from natural fibres.
The takeover of Boshoku Automotive Europe GmbH is in line with the long-term, strategic growth targets of Megatech Industries AG. The transaction will sustainable strengthen its market position as automotive supplier, especially because of the extension of its product range and the geographic proximity to its customers. The plants of Boshoku Automotive Europe GmbH shall benefit from the healthy order situation at Megatech Industries AG and shall take over long-term orders of the new owner. In future, Megatech Industries AG plans for the plants to be organised in lean structures to allow for profitable growth.
