    BEITEN BURKHARDT Advises dormakaba Group on Bond Issue of CHF 680 Million

    Munich, 21 December 2017 – The international law firm BEITEN BURKHARDT has advised the dormakaba Group on issuing two bonds in a total volume of CHF 680 million as double tranches on the Swiss capital market with regard to all German law aspects in relation to the collateralisation by a German group company. dormakaba Finance AG is the issuer of the bond, the first tranche of which has a maturity of four years, a 0.375 per cent coupon and an issuing price of 100.298 percent, and the second tranche being issued with a maturity of eight years, a coupon of 1.00 percent and an issuing price of 100.46 percent. The bonds will be guaranteed by the listed parent company dormakaba Holding AG and collateralised by an intra-group upstream guarantee of the German intermediate holding company dormakaba Holding GmbH & Co. KGaA.

     

    Under the lead management of UBS Investment Bank as Sole Bookrunner, the bonds were issued with value date 13 October 2017 under the participation of Zürcher Kantonalbank as Joint-Lead Manager and Deutsche Bank AG London Branch, acting through Deutsche Bank AG Zurich Branch as Senior Co-Manager, and Commerzbank as Co-Manager.
